The transaction does not cause any “anticompetitive effect due to the pre-existing situation of joint control by the acquiring company over the target company and its subsidiaries”. Words from the AGCM (Autorità Garante della Concorrenza e del Mercato), relayed by Teleborsa and Milano Finanza, in relation to Gucci Logistica’s transfer from 51 to 100% of Holding Colonna: the holding company owning Tuscan tanneries Falco Pellami, Marbella, 800, Serbian Luxury Tannery, and tanning chemical company Chem-tec.
Gucci to own 100% of Holding Colonna
Gucci Logistics is, we read online, the asset “the Kering group’s asset active in the design, development, engineering, production, purchase, sale, import and export of Gucci-branded products”. It held a 51% stake in Holding Colonna as of November 4, 2019, and has now received the go-ahead from the Antitrust Authority to acquire the remaining 49%, effectively annexing the entire capital. As Milano Finanza points out, citing the AGCM report, Colonna, while allocating part of its production to Gucci’s needs, will continue to operate with significant volumes also on behalf of third parties”.
